DOJ encourages corporate self-disclosure to avoid prosecution if companies fully cooperate, remediate, and disclose before government probes.
The U.S. Department of Justice has introduced its first-ever department-wide Corporate Enforcement Policy to encourage companies to voluntarily self-disclose misconduct.
Under the new framework, the DOJ generally declines to prosecute companies that fully cooperate with investigations, timely remediate wrongdoing, and voluntarily disclose issues before an imminent government probe, provided no aggravating factors exist.
If aggravating factors are present, the DOJ may still offer non-prosecution agreements, reduced fines, and no compliance monitor, though the policy applies to all criminal matters except antitrust violations.
