UHS to buy Talkspace for $835M to expand virtual mental health access.
Universal Health Services (UHS) has agreed to acquire virtual mental health provider Talkspace for $835 million in an all-cash deal, with the transaction valued at $5.25 per share.
The acquisition, pending regulatory and shareholder approval, is expected to close in the third quarter of 2026.
The move aims to integrate Talkspace’s telehealth platform with UHS’s inpatient and outpatient behavioral health facilities, improving care continuity and expanding access to over 200 million people.
Talkspace reported $229 million in revenue and 1.6 million therapy sessions in 2025, serving all 50 states and Puerto Rico.
UHS expects the deal to be accretive to earnings and strengthen its position in the growing behavioral health sector.
