New Zealand’s High Court has fined Alderson Logistics and Supa Shavings $420,000 for failing to notify the Commerce Commission of a 2022 acquisition that eliminated key competition in the Waikato bulk wood shavings market.
The deal, which combined two major rivals with a 70-80% market share, reduced competition and allowed the companies to raise prices for about 13 months until a supply shock in June 2023.
The Commission sought divestiture, but the attempt failed.
Justice Gardiner noted the companies profited from the merger until at least November 2024, and the case underscores the need for businesses to assess whether transactions must be reported under the Commerce Act.
