A £2 billion deal will merge Substantial’s fibre network with Virgin Media O2’s, creating a major rival to BT Openreach by 2027.
A consortium led by Liberty Global, Telefonica, and InfraVia has agreed to acquire Substantial Group, the UK’s second-largest alternative fibre provider, for £2 billion through their joint venture Nexfibre.
The deal, expected to close by Q3 2026, will combine Substantial’s Netomnia network with Virgin Media O2’s infrastructure, creating a major rival to BT Openreach with coverage reaching around 8 million premises by 2027.
Virgin Media O2 will receive £1.1 billion in cash, a 15% stake in Nexfibre, and the right to wholesale traffic on 4.6 million homes, while selling its retail brands YouFibre and Brsk to Virgin Media O2 for £150 million.
The transaction is expected to unlock £3.5 billion in international investment and accelerate consolidation in the UK’s fibre market, driven by rising costs and tighter financing.
The deal remains subject to regulatory approval.
