USA Compression Partners to buy J-W Power for $860M to boost capacity and expand in key energy regions.
USA Compression Partners (USAC) agreed to acquire J-W Power Company for $860 million, combining cash and stock, to expand its fleet to 4.4 million active horsepower and strengthen its presence in key U.S. energy regions.
The deal, expected to close in Q1 2026, is driven by rising natural gas demand from LNG exports and data centers.
It will enhance USAC’s service capabilities, customer base, and strategic positioning, with immediate accretion to cash flow and a projected leverage ratio below 4.0x.
The transaction follows other major industry moves, including Targa’s asset purchase and LNG terminal expansions, amid growing infrastructure pressure and water use challenges.
