Sun Peak Metals acquires Saudi exploration firm SDC in deal valued under 25% of its market cap, pending approvals.
Sun Peak Metals Corp. announced on October 30, 2025, that it has signed a definitive agreement to acquire 100% of Saudi Discovery Company SPV Limited, a Saudi Arabia-based exploration firm advancing projects aligned with Saudi Vision 2030.
Under the terms, Sun Peak will issue 58 million common shares to SDC’s shareholders, resulting in a post-transaction ownership split of approximately 60% for Sun Peak shareholders and 40% for former SDC shareholders, excluding shares from a concurrent financing.
The deal, which is subject to TSX Venture Exchange approval, regulatory clearances, and shareholder approval at a meeting on December 1, 2025, is expected to close in early December.
The transaction qualifies for exemptions under MI 61-101 due to its value being below 25% of Sun Peak’s market capitalization.
