Polaris will spin off Indian Motorcycle into a standalone company, selling most of it to Carolwood LP, with the deal closing in early 2026.
Polaris Inc. announced on October 13, 2025, that it will separate its Indian Motorcycle brand into a standalone company and sell a majority stake to Los Angeles-based private equity firm Carolwood LP, with the deal expected to close in early 2026.
The transaction is projected to boost Polaris’ adjusted EBITDA by $50 million annually and increase adjusted earnings per share by about $1.00.
Indian Motorcycle contributed roughly $478 million, or 7%, of Polaris’ revenue over the past 12 months.
Polaris will retain a minority stake and focus on higher-growth segments, while Indian Motorcycle will gain operational independence.
Mike Kennedy, a motorcycle industry veteran, will lead the standalone business, which will maintain manufacturing in Iowa and Minnesota.
Mike Dougherty, Polaris’ President of On Road and International, will retire after the transaction.
