BBVA has raised its hostile takeover bid for Banco de Sabadell to 17.04 billion euros ($20.02 billion), offering one BBVA share for every 4.8376 Sabadell shares in an all-share deal valued at 3.39 euros per Sabadell share, up from its previous offer that included cash.
The revised terms, which eliminate cash and may exempt shareholders from capital gains tax if over 50% of voting rights are accepted, aim to strengthen BBVA’s position in Spain’s banking sector.
