New Zealand is overhauling its Commerce Act for the first time in nearly 20 years to boost competition, protect consumers, and support business growth.
The reforms, introduced by Ministers Nicola Willis and Scott Simpson, aim to prevent unfair practices like creeping acquisitions and predatory pricing, clarify merger rules, and strengthen the Commerce Commission with new powers to pause risky mergers, issue injunctions, and accept voluntary commitments.
The Commission will be restructured to separate governance from regulation, improving transparency and efficiency.
Changes include longer confidentiality protections for sensitive information, streamlined approval for beneficial collaborations, and alignment with Australia’s merger oversight to address "killer acquisitions."
The legislation is set for introduction to Parliament before Christmas and expected to pass by mid-2026.
