Alcoa to acquire Alumina Limited for $2.2B in an all-scrip transaction, with Alcoa shareholders holding 68.75% of the combined company.

Alcoa has entered into a binding Scheme Implementation Deed to acquire Alumina Limited for $2.2 billion in an all-scrip transaction. Alcoa will acquire Alumina, its joint-venture partner, offering Alumina shareholders 0.02854 Alcoa shares for each Alumina share. Upon completion, Alumina shareholders will own 31.25% and Alcoa shareholders will own 68.75% of the combined company. The deal is expected to be completed in the third quarter of 2024.
